Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of NudgeKit’s website, dashboard, SDKs, APIs, and related services (the “Services”). By creating an account or using the Services, you agree to these Terms and our Privacy Policy.

If you use NudgeKit on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

We may suspend or terminate accounts that violate these Terms, pose a security risk, or remain inactive for an extended period.

3. The Services

NudgeKit lets you design, target, preview, and publish in-app experiences for your applications. Features, plans, and limits may change over time. Free plans may include branding, usage caps, or other limitations described on our pricing page.

You are responsible for how you use NudgeKit with your own apps and end users, including compliance with app store rules, privacy laws, and your own product policies.

4. Acceptable use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes
• Upload malware or attempt to disrupt or reverse engineer the platform
• Infringe intellectual property, privacy, or other rights of others
• Send spam or deceptive in-app messaging through the Services
• Probe, scan, or test the vulnerability of our systems without authorization
• Resell or sublicense the Services except as expressly allowed
• Misrepresent affiliation with NudgeKit or another party

5. Your content

You retain ownership of content you create or upload (widgets, HTML/CSS, copy, images, targeting rules, and similar materials). You grant us a limited license to host, process, display, and transmit that content solely to operate and improve the Services.

You represent that you have all rights needed for the content you upload and for any end-user data you send through the SDK.

6. NudgeKit intellectual property

The Services, including software, branding, documentation, and design, are owned by NudgeKit and its licensors. These Terms do not grant you ownership of our IP. You may not copy, modify, or create derivative works of our platform except as allowed by these Terms or applicable open-source licenses.

7. SDKs and integrations

If you use our SDKs (for example, React Native), you must integrate them correctly and keep them reasonably up to date for security fixes. You are responsible for your app’s collection and use of end-user data in accordance with your privacy policy and applicable law.

8. Plans, billing, and refunds

Paid plans are billed according to the pricing and terms shown at purchase. Fees are generally non-refundable except where required by law or expressly stated otherwise. We may change pricing with reasonable notice; continued use after a change takes effect constitutes acceptance of the new pricing for subsequent billing periods.

Taxes may apply based on your location. You are responsible for any taxes not collected by us.

9. Availability and changes

We aim for high availability but do not guarantee uninterrupted Services. We may modify, suspend, or discontinue features with or without notice. We are not liable for downtime, data loss, or issues caused by third-party networks, hosting providers, or your own systems.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR MEET YOUR SPECIFIC REQUIREMENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUDGEKIT AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100) IF YOU ARE ON A FREE PLAN.

12. Indemnification

You agree to indemnify and hold harmless NudgeKit and its team from claims, damages, and expenses (including reasonable legal fees) arising from your content, your apps, your end users, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services and request account deletion at any time. We may suspend or terminate access if you breach these Terms. Upon termination, your right to use the Services ends; provisions that should survive (including IP, disclaimers, liability limits, and indemnity) will continue to apply.

14. Governing law

These Terms are governed by the laws applicable in your primary place of business relationship with us, without regard to conflict-of-law principles, unless mandatory consumer protections in your jurisdiction require otherwise. Courts in that jurisdiction will have exclusive venue for disputes, subject to applicable law.

15. Changes to these Terms

We may update these Terms periodically. We will post the new version on this page and update the “Last updated” date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
